Bylaws of the Italian American Club of Rossmoor

Article I Name
The name of this organization shall be the Italian American Club of Rossmoor, hereafter called the Club.
Article II Purpose
The purpose of the Club is to promote fellowship, fraternity and appreciation of Italian culture among its members.
Article III Membership/Dues
1. Membership shall be open to any resident of Rossmoor who is of direct Italian descent and to any Rossmoor resident couple, one of whom is of direct Italian descent.
2. Associate membership shall be available to Rossmoor residents not of Italian descent who must be sponsored by two (2) Club members in good standing. Associate Members will have the same privileges as Regular Members, except Associate Members will be non-voting.
Rossmoor residents who are widow/widowers of Italian spouses shall be eligible for membership.
Application for membership must be approved by the Board of Directors.
If members in good standing relocate outside of Rossmoor they shall be eligible for continued membership.
Annual dues shall be set by the board. Members shall pay their dues in full by the first of December of each year. New members of the Club who join after September first shall pay full dues for the year in which they join and will have dues waived for the next succeeding one year of membership.
Article IV Officers
Elected officers of this Club shall be: president, vice president, secretary and treasurer. Associate members cannot hold elective office.
The appointed officers shall be: bar/wine, membership, reservations, publicity, program, decorations, sunshine/activities council, golf tournament coordinator, and parliamentarian.
Officers shall serve a term of one (1) year and may be re-elected.
All vacancies in an office shall be filled by the president with Board approval.
Terms of office shall begin in January.
Article V Nominations
A nominating committee of three (3) board members shall be appointed by the president at the September board meeting. The committee shall choose their chair.
Term of service on the nominating committee shall be for one (1) year.
The Nominating Committee chair shall announce the nominees at the October dinner meeting and shall call for nominations from the floor. Election of officers shall be conducted at the November dinner meeting.
Article VI Duties of Officers
The president shall preside at all meetings and shall appoint committee chairs with the approval of the Board.
The vice-president shall act as an assistant to the president, preside in his/her absence and perform such duties as the president may direct.
The secretary shall prepare and maintain minutes of each scheduled board meeting or special meeting and shall reply to any correspondence sent to the president as requested by the president.
The treasurer shall keep accurate, comprehensive and timely accounts of all monies received and disbursed.
Committee chairs shall serve as directed by the president.
Article VII Board of Directors
The board shall include elected and appointed officers who will be committee chairs and who will be eligible to vote on issues presented to the board.
The board has power to administer the affairs of the Club and has fiscal responsibility.
Meetings of the board shall be held at least four (4) times per year.
The president may appoint members of the Club to an ad hoc committee as may be necessary for Club business. Members of ad hoc committees shall have no vote on any board business unless such member is also a member in good standing of the board of directors.
Special board meetings may be called by the president or shall be called at the request of three (3) board members.
The quorum for a meeting of the Board shall be a majority of the voting members.
A member of the board may be removed for any reason by a two-thirds vote of the board.
Article VIII Financial Administration
The board shall set policy to control financial records including an annual financial review.
Article IX Meetings
a. The Club shall hold an annual meeting to conduct the business of the Club.
b. The meeting shall be noticed to the members at least thirty (30) days before the meeting.
c. The quorum shall be twenty five (25) percent of the Club member membership.
Special meetings may be called by the president or by 10 percent of the membership.
Article X Property
The title to all property, funds and assets of the club is vested in the club for joint use of members and no member or group of members shall have any severable right to any part of such property. Property and assets shall not be used for any purpose contrary to that of the Club.
In the event of the dissolution of the club all assets shall be transferred to a recognized charity to be decided by the board.
Article XI Parliamentary Authority
Robert’s Rules of Order Newly Revised shall be the parliamentary authority for all procedures not specifically covered by these by-laws.
Article XII Amendments to the bylaws
Provisions of these bylaws may be amended at the annual membership meeting by a two-thirds vote of the membership present provided notice shall have been given at least thirty (30) days prior to the meeting.
